How Participation Works
Determining Your Eligibility
All eligible employees are automatically included as participants in ShareValue Trust as reflected by their status described herein. No enrollment form is required to start participation. The ShareValue Trust applies if you are or were during the current, open investment periods one of the following:
- A full- or part-time, non-executive employee not on lay off or who has not otherwise terminated employment with the company or a participating subsidiary.
- A union-represented employee within a Local whose collective bargaining agreement includes ShareValue participation for any portion of the current, open periods.
- Employed by a Boeing subsidiary which is approved for participation and paid through the subsidiary's payroll department.
- A former employee, including retirees and beneficiaries of deceased employees, given the above criteria, who was once an eligible participant in the current, open periods of the ShareValue Trust.
For the months your status or job classification has placed you in any of the following groups during the open investment period, you are ineligible for ShareValue Trust for that period.
- Contract labor, an intern, co-op, flex force or someone hired on a temporary basis.
- A full- or part-time subsidiary employee who is employed by a non-participating subsidiary or is part of an excluded group within a participating subsidiary.
- An executive or a participant in an executive bonus or compensation plan.
Determining Months of Eligibility
Eligible employees are credited with a month of eligibility in an investment period when they are on the active payroll of Boeing or a participating Boeing subsidiary any time during the calendar month. Whether an employee had one day or 15 days on the active payroll for a particular month, the whole month would be credited. Employees continue accumulating months of eligibility each calendar month they're on the payroll at any time.
The following chart outlines how different employment situations affect months of eligibility for ShareValue Trust.

Leave of Absence Guidance
- Eligible employees on an approved leave of absence retain monthly eligibility until after the end of the third full calendar month following the month in which their approved leave of absence started. Employees meeting these criteria may receive partial distribution for the months of eligibility completed within the remaining open investment periods.
- Using the above criteria, each separate period of LOA is used to determine eligibility--periods of LOA are not cumulative in determining months of eligibility.
- To ensure fair and equitable treatment, these provisions apply to all on approved leave of absences as defined in PRO-1974, "Leave of Absence" including military, family medical, occupational, and non-occupational types of leave.
What You Can Do As A Participant
Growth in long-term shareholder value, which a ShareValue Trust investment period measures, is related to how the stock market favorably views the Company's expected or future cash flows. Even though a lot of things affect the volatility of our stock price each day, over the long term, the amount of cash expected to come in and go out of a company makes a difference in its stock price.
When we increase the number of deliveries and manufacturing efficiencies, or reduce flow times and waste, the company's cash flow will improve. When all employees work to improve the amount of cash coming in and reduce the amount of cash unnecessarily going out of the company, it will be reflected in our long-term shareholder value. With anything that takes time and effort to improve, the results may not show up right away. But that's one reason why the ShareValue Trust is designed to reflect the long-term nature of our business and is effective to the last investment period in 2010.

Full- and part-time, non-executive employees on the active payroll* of The Boeing Company or a participating subsidiary** are eligible to participate. Union-represented employees are eligible to participate if their collective bargaining agreement includes ShareValue participation for any portion of a current investment period.
Eligible employees automatically become participants in an investment period the first day they start on the active payroll - no enrollment is required. Employees are not eligible while they are on the executive payroll.
The following bargaining units do not participate in the ShareValue Trust Plan.

"Employee" does not include any person who, in the sole judgment of the ShareValue Committee, is deemed either contract labor or someone hired on a temporary basis. Flex force, co-op personnel and interns are not eligible.
