The federal securities laws require publicly traded companies to disclose information on an ongoing basis. These companies are required to file with the U.S. Securities and Exchange Commission annual reports on Form 10-K and quarterly reports on Form 10-Q.
The annual report on Form 10-K provides a comprehensive overview of the company's business and financial condition. The 10-K Form includes, among other things, audited financial statements, a description of material legal proceedings, management's discussion and analysis of the financial condition of the company and information concerning the company's controls and procedures.
