SHAREHOLDER PROPOSALS FOR
2002
The Company's next annual meeting will be held on April 29, 2002. An
eligible shareholder who wishes to have a qualified proposal considered
for inclusion in the proxy materials for presentation at that meeting
must send the proposal to the Corporate Secretary; it must be received
at the Company's executive offices no later than November 24, 2001.
A shareholder must have continuously held at least $2,000 in market
value, or 1%, of the Company's outstanding stock for at least one year
by the date of submitting the proposal, and the shareholder must continue
to own such stock through the date of the meeting.
Any shareholder who intends to nominate candidates for election as
directors or present a proposal at the meeting pursuant to the Company's
By-Laws, without inclusion of such proposal in the Company's proxy materials,
is required to provide notice of such proposal to the Company. The Company's
By-Laws provide that any business to be transacted at the annual meeting
of shareholders must be a proper matter for shareholder action and properly
brought before the meeting. Notice must be received by the Corporate
Secretary no earlier than December 30, 2001 and no later than January
