ORGANIZATION

Members

The Special Programs Committee shall consist of three or more directors. The chairperson and members of the Committee shall be appointed by the Board of Directors.

Meetings

Committee meetings shall be in conjunction with regular Board of Directors meetings and at such other times as called by or on behalf of the chairperson of the Committee.

majority of the members of the Committee shall constitute a quorum. The Committee shall act only on the affirmative vote of at least two of the members.

Responsibilities

The responsibilities of the Committee are to review on a periodic basis those programs of the Company which for purposes of national security have been designated as classified by the United States Government.
